Welcome to Lingua CoPilot! These Terms of Service ("Terms") govern your institution's use of our website, services, and platforms (collectively, the "Service"). By accessing or using the Service, you agree to these Terms on behalf of your institution. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By using Lingua CoPilot, you agree to these Terms and any updates we may make on behalf of your institution. We may modify these Terms at any time, and continued use of the Service constitutes acceptance of any changes. It is your responsibility to review these Terms periodically.

2. Description of Service

Lingua CoPilot provides two platforms for institutional use:

• Lingua CoPilot (Language Platform): Language training and practice in multiple languages including English, German, and French, with realistic cultural contexts and feedback for educational institutions.
• Lingua CoPilot Medical (Healthcare Platform): Clinical communication training with simulated patients, families, and healthcare colleagues for nursing colleges, medical schools, and healthcare institutions.

The Service is available through institutional licensing agreements. We do not offer individual subscriptions or direct-to-consumer access. The Service is operated by Falconicx Technologies Private Limited ("Company", "we", "us", "our"), having its registered office at M541, SF, Orchid Island, Sec-51, Gurgaon.

If you are an individual user (student, trainee, or employee), your access is provided by your institution. Your use is subject to your institution's policies and any applicable agreement your institution has with us.

3. Institutional Obligations and Conduct

Institutional Responsibility: You represent that you have authority to bind your institution to these Terms and are responsible for all use of the Service under your institution's account.

User Management: Your institution is responsible for managing access for students, faculty, employees, or other authorized users and ensuring their compliance with these Terms.

Age Requirements: Your institution is responsible for ensuring users meet applicable age requirements for educational or professional use.

Prohibited Conduct: Your institution agrees not to:

• Use the Service for any unlawful purpose.
• Attempt to hack, disrupt, or overload the Service.
• Use the Service to transmit harmful or offensive content.
• Decompile, reverse-engineer, or abuse any part of Lingua CoPilot.
• Resell or redistribute the Service without permission.
• Use the Medical Platform for actual medical diagnosis or treatment.
• Share institutional login credentials outside authorized users.

We may suspend or terminate accounts that violate these rules.

4. Privacy Policy Consent

Your use of our Service is also governed by our Privacy Policy, which can be found at:Privacy Policy. By using Lingua CoPilot, you also consent to the terms of our Privacy Policy on behalf of your institution. Your institution is responsible for informing authorized users of these terms.

5. Licensing and Payment

Institutional Licensing: The Service is provided through institutional licensing agreements with terms, pricing, and features defined in separate written agreements.

Billing: Institutional licenses are invoiced according to the terms of your specific licensing agreement.

License Term: Your institution's right to use the Service continues for the term specified in your licensing agreement and is subject to the terms therein.

6. Intellectual Property Rights

Ownership: Lingua CoPilot owns all rights to the Service, including its technology, content, and trademarks.

User-Generated Content: By using the Service, your institution grants us a non-exclusive, royalty-free license to use, store, and process conversation data to provide and improve the Service. Your institution retains ownership of user content.

7. Platform-Specific Terms

7.1 Lingua CoPilot Medical

Training Use Only: The Medical Platform is for training and educational purposes only. It is not for actual patient care, medical diagnosis, or treatment.

Simulation Disclaimer: Healthcare scenarios are simulations with AI-generated responses. Users should verify clinical information through standard medical resources and institutional protocols.

Institutional Compliance: Healthcare institutions are responsible for ensuring compliance with applicable regulations (including but not limited to institutional policies, educational standards, and relevant privacy requirements).

7.2 Data and Compliance

Institutional Data Responsibility: Your institution remains responsible for user data and ensuring appropriate consents and compliance with applicable laws and regulations.

Additional Agreements: Where required by institutional policies or regulations, separate Data Processing Agreements or Business Associate Agreements may be established.

8. Disclaimers and Limitations of Liability

Service Availability: We strive to provide uninterrupted service but do not guarantee it. We are not liable for any interruptions or data loss.

AI Accuracy: While we aim for accurate feedback, we do not guarantee the precision of AI-generated feedback or conversation responses.

Educational/Training Tool: The Service is an educational and training tool. It does not replace professional judgment, clinical expertise, or institutional training programs.

Limitation of Liability: To the fullest extent permitted by law, Lingua CoPilot shall not be liable for any indirect, incidental, or consequential damages arising from your institution's use of the Service.

9. Indemnity

Your institution agrees to defend and indemnify the Company, its directors, employees, and partners against any third-party claims arising from your institution's use of Lingua CoPilot or breach of these Terms.

10. Termination of Service

We reserve the right to suspend or terminate your institution's access to the Service at any time for violations of these Terms or for any other reason. Upon termination, your institution's right to use the Service will cease according to the terms of your licensing agreement.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India and the State of Haryana, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with Gurgaon, Haryana as the venue.

International institutions are responsible for complying with their local laws when using the Service.
